What are the guidelines that govern Image Overlay?

I see there are times when Image Overlay is off by default, such as when in Lights Out mode.. Or when in Loupe View with the side panels closed (??).

When is Image Overlay available and when isn't it? I use "I" often since I typically shoot two different bodies during a shoot (D3'' & D2X) and like to see how each body differs in it's handling image processing..

On for me with side panels on or off. If it's not for you, I'd consider it a bug.

I hadn't noticed that it was going off in Lights Out mode, but I'm glad it does.
